Terms and Conditions
Terms & Conditions – Mercurae Client App (“Early Access Programme”)
1. This App (the “App”) is provided by Mercurae Limited (company number: 12780967) (“we”, “us”, or “our”) to allow clients to:
· Submit instructions
· Track the progress of instructions and tasks
· Receive real-time notifications/alerts
· Upload documents (optional)
· Access historical records
· Monitor usage
2. The App is intended as a prototype tool and is provided for test and evaluation purposes only as part of our App development Early Access Programme (“EAP”). It does not replace formal engagement processes or correspondence with us.
3. The App does not itself provide legal advice. All advice is provided separately under the terms of our engagement with you. Nothing displayed in the App should be relied upon as legal advice.
4. The App may collect and display limited personal information (such as your name and email address). We do not use the App to store or process sensitive personal data. Any information you upload will be treated in accordance with our Privacy Notice https://www.mercurae.com/privacy-policy-4. By using the App, you consent to our handling of this data for the purposes of managing and delivering your instructions as part of the EAP.
5. We take appropriate technical and organisational measures to protect the information you provide through the App. However, we cannot guarantee that the App will be free from unauthorised access, interruptions, or errors. You remain responsible for ensuring that your use of the App is secure (e.g. keeping login details confidential). You must not upload any special category or regulated personal data into the App. We do not accept responsibility for any such data if uploaded.
6. This App is a prototype and is provided “as is” without any warranty (express or implied) as to availability, accuracy, fitness for a particular purpose, non-infringement or performance. The App may change, may contain errors or bugs and we may suspend or withdraw your access to the App at any time.
7. To the fullest extent permitted by law, we exclude liability for any loss or damage arising from your use of, or inability to use, the App. This does not affect our liability to you under our engagement terms or for matters which cannot be excluded by law.
8. All rights in the App, its design, and content are owned by or licensed to Mercurae Limited. You may use the App only for the purpose of test and evaluation as part of the EAP.
9. Access to the App is by invitation only and you confirm that you are authorised to agree these Terms & Conditions and you shall ensure that all EAP participants that access the App on your behalf agree to comply with them.
10. You are granted a limited, non-exclusive, non-transferable, non-sublicensable licence to use the App solely for the purposes of the EAP and for your own internal business use. You must not: (a) copy, modify, adapt, reverse engineer, decompile, disassemble or create derivative works from the App; (b) use the App to build or assist in building a competing product or service; (c) circumvent security features or interfere with the operation of the App; or (d) access or use the App in any unlawful manner.
11. Any feedback, suggestions, or ideas you provide in relation to the App may be used by us freely and without restriction. You assign to us all rights in such feedback.
12. You agree to treat as confidential any non-public information about the App, its features, functionality, content and performance and you agree not to disclose the existence of the EAP, allow access to the App or disclose any information about it to any third party without our prior written consent.
13. We may update these Terms & Conditions from time to time. The latest version will be accessible within the App.
14. We may update, modify, suspend or withdraw the App or your access to the App immediately without notice where we consider it necessary for security, operational, or compliance reasons or otherwise at our discretion.
15. The App may rely on or interact with third-party services. We do not control and are not responsible for their availability, security or performance.
16. These Terms & Conditions are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
Acceptance Waiver
By accessing or using this App, you acknowledge that it is provided as a prototype tool by Mercurae Limited and agree to be bound by its Terms & Conditions. If you do not agree, please do not use the App.
